Project description
Assessment of the Law for Business module is made up of this assignment which carries 30% weighting and the 2 hour unseen examination (with allowable material of one sheet of A4 notes) which carries 70% weighting.

Hand-in date: Tuesday 9 December
Hand-back date: Wednesday 14 January

The following must be adhered to:

1.All work must be submitted electronically via the Turnitin drop box in the assessment area of the Business Law module on student central.

2.The assignment must NOT exceed 1000 words. The word limit excludes footnotes and the bibliography. Any words outside the limit will be crossed out and not be considered part of your assignment.

3.All work must be referenced using either the Harvard system of referencing or the London Footnoting System (see appendix 1)

4.A word count for each answer must be included.

5.A bibliography must be included.

The assignment must be received by 23.59 on Tuesday, 9thDecember 2014. For further information on submitting assignments, please see your Course handbook 2014/15 (available on studentcentral).

THE ASSIGNMENT

Individual Assignment: Answer all 3 questions: Total word limit 1000 words.

Answer ALL PARTS of the question. Each question carries equal marks.

Rose has recently graduated from a Business degree and set up a new advertising agency. The following legal problems have arisen for which she needs advice.

a)Rose needs to buy a graphic design desktop computer. She spotted one for sale in an advert placed by Stanley in the Brighton Argus priced at 1,500. She telephoned Stanley who confirmed that he will sell it to Rose for 1,500. Rose asked whether Stanley would accept 1,000. Stanley said he would consider it, but didnt get back to Rose.A few weeks later, Rose contacted Stanley stating that she would accept the price of 1,500. However, Stanley has already sold the equipment.

To grow her business, Rose negotiated with a company in New York (Goggle Connect) to design their latest advertising campaign. On 1 June Goggle Connect wrote to Rose offering to enter into an agreement with her and the letter arrived on 2 June. On 15 June Rose wrote back to Goggle Connect to accept, however her letter was delayed and did not arrive until 28 June. On 16 June, Goggle Connect entered into a contract with another company and wrote to Rose that same day to advise her that they no longer wished to contract with her. Rose received this letter on 18 June.

AdviseRose whether in these circumstances she ever had a valid contract with Stanley or Goggle Connect.

b)Rose is delighted to enter a contract with a new client (Zone 1, a manufacturer of computer games) to organise the launch of their latest game. Expecting a frenzy of avid computer game fans desperate to buy the new game, Rose requested a police presence at the launch night at a local gaming store. The police agreed to draft in officers for a price of 95, however they do not think this police presence is needed and consider this a special police service. After launch night, Rose refuses to pay the 95.

In her spare time, Rose writes songs for and has been part of a band which she and three friends formed at school. Now that her songs have become popular the whole band is earning money from their performances. However, the other band members claim that they also made an agreement about sharing her songwriting royalties (royalties meaning payments for usage of the song).

Advise Rose whether:
(i)the police are entitled to demand the 95; and
(ii)whether the other band members can receive a share of the songwriting payments.

c)Zone 1 also entered a contract with Rose to demonstrate their new game at a major exhibition. She enters a contract with Stands United to hire a stand, but in breach of contract they supply the wrong one and Rose wishes to sue them. However, her solicitor suggests that the parties try Alternative Dispute Resolution.

During a quick lunch break from the exhibition, Rose went for a walk along the River Thames. She took a deckchair from a pile of chairs (hired out by the Riverside Authority), besides which there was a notice telling people to pay the riverside attendant. She paid the attendant and was handed a ticket which she quickly put in her purse without looking at it. Rose was shocked when the chair collapsed and she hurt her hip. She told the attendant that she would want compensation, however he pointed to a clause on the back of the ticket exempting the Riverside Authority from liability.

(i)Briefly explain to Rose what is meant by ADR (in relation to Stands United) and name two advantages and two drawbacks of this form of dispute resolution; and
(ii)Advise Rose whether the Riverside authority would be able to rely on the exemption clause.

As you discovered last week, contractual claims are going to be one of the common claims that arise on a regular basis in many businesses.

The next primer you will prepare for your department’s training series will give your colleagues additional information on some advanced contractual principles beyond formation. Prepare a 1–2-page, double-spaced document explaining how and why fraud invalidates a contract. Include in your treatment of this subject examples of undue influence and duress that can arise in the business context. Finally, you should describe some of the different types of damages and equitable remedies available in contract cases, and explain the common law doctrine of election of remedies from a business contract standpoint, using examples that might arise in your company’s day-to-day operations.
